Developer Agreement

"Developer" means any individual or entity that registers for the TikPlay Developer Program.

"Game" means any Unity WebGL game submitted to TikPlay for publication.

"Platform" means the TikPlay website and services at tikplay.games.

"Premium Revenue" means revenue generated from TikPlay Premium subscriptions.

"Playtime Share" means the percentage of total premium playtime attributable to a Developer's Game(s).

To participate in the TikPlay Developer Program, you must:

• Be at least 18 years of age or represent a legally registered business entity
• Have a registered TikPlay account in good standing
• Accept this Developer Agreement in full
• Provide accurate payment information for revenue disbursement
• Comply with all applicable laws and regulations

Revenue Share Rates: Revenue share rates are published on the Platform and may be adjusted by TikPlay at its discretion with 30 days prior notice.

• Minimum Payout: €20.00 minimum balance required for payout
• Payment Schedule: Monthly payouts, processed automatically via Stripe
• Payment Method: All payouts are processed through Stripe Connect. You must connect a Stripe account to receive payments.
• Tax Responsibility: You are responsible for all taxes on your earnings
• Balance Carryover: Unpaid balances below minimum carry over to next month

TikPlay reserves the right to withhold payments in case of suspected fraud, Terms violations, or pending disputes.

All Games submitted to TikPlay must:

• Comply with TikPlay's technical requirements as specified in the Developer Documentation
• Be free of malware, viruses, or malicious code
• Not contain illegal, defamatory, or infringing content
• Comply with TikTok's Community Guidelines
• Be suitable for the intended audience and platform
• Not contain advertisements, in-game purchases, or any form of direct monetization. All revenue is generated through the TikPlay Premium subscription model.

All submitted Games undergo a review process:

• Initial Review: Technical compatibility and security check
• Content Review: Compliance with content guidelines
• Testing: Functionality verification with TikTok integration
• Decision: Approval, rejection with feedback, or request for changes

TikPlay reserves the right to reject or remove any Game at its sole discretion. Typical review time is 5-10 business days.

Your Rights:

• You retain all intellectual property rights to your Game
• You retain the right to publish your Game on other platforms

License to TikPlay:

By submitting a Game, you grant TikPlay a non-exclusive, worldwide, royalty-free license to:

• Host and distribute the Game on the TikPlay Platform
• Use Game screenshots, videos, and descriptions for marketing purposes
• Modify the Game only as necessary for technical compatibility

Warranty:

You warrant that you own or have the rights to all content in your Game, and that publishing the Game does not infringe any third-party rights.

Games must not contain:

• Malware, spyware, or any harmful code
• Illegal content or content promoting illegal activities
• Hate speech, discrimination, or harassment
• Explicit sexual content or excessive violence
• Content that infringes copyrights, trademarks, or other IP rights
• Gambling mechanics with real money (virtual currency games are allowed)
• Deceptive or fraudulent mechanics
• Content targeting or exploiting minors

By Developer:

You may terminate this Agreement at any time by removing your Games and deactivating your Developer account. Earned revenue up to termination will be paid according to standard payment terms.

By TikPlay:

TikPlay may terminate this Agreement immediately if you:

• Violate any provision of this Agreement
• Submit Games with prohibited content
• Engage in fraudulent activity
• Become inactive for more than 12 months

Upon termination, your Games will be removed from the Platform. Any unpaid balance above the minimum payout threshold will be disbursed within 60 days of termination.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. TikPlay does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

TikPlay makes no guarantees regarding the amount of revenue you may earn through the Developer Program. Revenue depends on various factors including but not limited to user engagement, subscription numbers, and playtime distribution.

To the maximum extent permitted by applicable law, TikPlay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

TikPlay's total liability under this Agreement shall not exceed the total revenue paid to you in the six (6) months preceding the claim.

These limitations apply regardless of whether TikPlay has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless TikPlay, its partners, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your Games or content submitted to the Platform
• Your violation of this Agreement
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations

TikPlay processes personal data in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy available at tikplay.games/privacy.

As a Developer, you acknowledge that TikPlay collects and processes data related to your Games, including playtime statistics, user engagement metrics, and revenue data. This data is used to calculate your revenue share and improve the Platform.

You are responsible for ensuring that your Games comply with applicable data protection laws and do not collect personal data from users without proper consent.

TikPlay reserves the right to modify this Agreement at any time. We will notify you of material changes via email or Platform notification at least 30 days before they take effect.

Your continued participation in the Developer Program after such notice constitutes acceptance of the modified terms. If you do not agree to the modified terms, you may terminate this Agreement as described in Section 9.

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Düsseldorf, Germany.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely achieves the intended economic effect of the original provision.

This Agreement, together with the TikPlay Terms of Service and Privacy Policy, constitutes the entire agreement between you and TikPlay regarding the Developer Program and supersedes all prior agreements, understandings, and communications, whether written or oral.

No modification or amendment to this Agreement shall be binding unless made in writing and accepted by both parties, or as otherwise provided in Section 14.
